The appointment was approved by the board and is aimed at strengthening governance and long-term strategic direction.

Chairman Nandan Nilekani explained that this decision does not create any changes to the chairman position but instead enhances the board’s functions during a period of fast technological and business changes.

Nitin Paranjpe is a seasoned corporate leader born in 1963. He completed his Mechanical Engineering studies at College of Engineering Pune and then earned his MBA in Marketing from Jamnalal Bajaj Institute of Management Studies. His strong academic foundation played a crucial role in shaping his long and successful corporate career.

He worked as the CEO and Managing Director for Hindustan Unilever between 2008 and 2013 after which he assumed international duties at Unilever which included his work as Chief Operating Officer and Chief Transformation & People Officer.

The Vice Chairman position at Infosys requires Paranjpe to work together with the board members and chairman in order to make strategic decisions while enhancing the company’s corporate governance practices.

His position as a non-executive director prevents him from participating in everyday business activities yet he will help develop the company’s future direction through his work on artificial intelligence and digital transformation technologies.

I will continue as the Chairman of the Board as long as necessary and there is no plan for a chairman transition.”

The compensation system for Paranjpe who serves as a non-executive leader differs from the compensation system used for executive positions. His income comes from three sources which are board-level payments and sitting fees and commissions. Infosys independent director earns between ₹1.5 crore and ₹2 crore in annual income.

Earlier, as CEO of HUL, he earned around ₹9.74 crore annually in 2011–12, with compensation later crossing ₹10 crore, making him one of the top-paid executives in the FMCG sector at the time.

The amount is far less than what executives receive which includes performance-related bonuses for CEO Salil Parekh. Paranjpe earned more money during his time at Hindustan Unilever because of his executive duties which he performed at that time.
